Minimum Education & Experience
  • 5+ years’ in public accounting (BIG 4/national audit firm) with acquisition experience and CPA required.
  • Experience with other technical accounting research and analysis preferred.
  • Experience with public companies in the manufacturing industry and SEC reporting preferred.

Duties & Responsibilities
  • Participate in the financial due diligence for pending acquisitions, including possible travel to the target to gather financial data.
  • Lead the purchase price allocation accounting activities, manage SOX controls, draft external reporting disclosures for acquisitions, and support finance integration at the acquired business.
  • Provide technical accounting support within the acquisition space, as well as general issues that arise within the controller’s group (revenue recognition, pension, derivatives, LIFO, and self-insurance).
  • Work with a wide variety of corporate functions, including finance personnel from various business units, and serve as the main liaison with external and internal auditors.
  • Attend weekly due diligence calls and provide summary of status and findings.
  • Lead valuation work performed by 3rd party valuation specialists (coordinate PBC requests, schedule and lead status calls, review valuation report/document results, coordinate auditor Q&A, etc.).
  • Oversee and participate in reviews over balances not subject to 3rd party specialist (determine appropriate working capital adjustment with corporate development, acquired company, and seller).
  • Evaluate acquired entity’s accounting policies to determine if changes are needs to meet US GAAP.
  • Support acquired company in determining appropriate accounting methodology and procedures.
  • Determine and document overall accounting for acquisition and draft 10Q and 10K disclosures.
  • Provide on-site support for the acquired company regarding accounting procedures necessary to close the ledger and consolidate with company.
  • Coordinate with internal specialists to further assist the site in finance integration activities.
  • Support integration team in other accounting/finance activities to fully integrate acquired company.
  • Perform technical accounting research and draft accounting whitepapers.
  • Draft and update company accounting policies to ensure they are up-to-date with most current accounting requirements.
