Position Summary
Seeking an M&A Manager to manage and provide support for all phases of mergers and acquisitions opportunities/projects for the company, including research/targeting, transaction modeling, due diligence, and overall transaction execution.
Minimum Education & Experience
  • Bachelor’s Degree in Finance, Accounting, Economics, Stats, Business Administration, or related degree required, MBA or equivalent preferred.
  • 5+ years’ experience in i-banking, management consulting, FP&A, or in a corporate development role.
  • Data modeling skills and demonstrated proficiency with MS Excel.
  • Ability to create complex queries, build complex/efficient financial models, create macros and modules, and summarize key findings from database downloads.
  • Ability to develop/manipulate/present complex financial models to analyze complex financial statements.
  • Ability to work independently and as a team member with set priorities under deadline pressures.
  • Ability to respond to changing demands from multiple sources.
  • Strong desire to learn new technologies and drive for constant improvement/career growth.
  • Analytical and problem-solving skills/demonstrated planning and organizations skills.
  • Understanding of valuation techniques and related accounting concepts and financial theory.
Duties & Responsibilities
  • Manage initial acquisition project screenings through company research and consult with firm’s operating companies and industry reviews.
  • Perform valuation analyses using discounted cash flow, return analysis, earnings per share accretion, and comparable multiples.
  • Manage preparation of offers, i.e. Indications of Interest and Letters of Intent.
  • Assist with negotiation, development, and review of definitive agreements, working capital targets, and post-closing adjustments.
  • Lead due diligence reviews, perform business/financial due diligence, and coordinate functional diligence reviews such as accounting, tax, legal, environmental, HR, IT, etc.
  • Prepare/participate in the presentation of opportunities to firm/operating company senior executives.
  • Research domestic/international home/security markets/industries to reveal possible acquisition targets.
  • Evaluate competitive landscape by preparing competitor benchmarking analyses/earnings evaluations.
  • Analyze/assess strategic and financial information of potential acquisition targets.
  • Lead assessment of new product categories, understand dynamics of these markets, analyze existing players, and assess alternative market entry strategies.
